v1.0 |

Important: Picwave sells downloadable AI-generated image files and prepaid, account-bound generation credits. A credit is a contractual right to request one image generation, not money, electronic money, a deposit or a transferable asset. Purchases are one-off, and no physical goods are shipped. Digital-supply consent, refunds and statutory consumer remedies are explained below; nothing here removes rights that the law makes non-excludable. |

2. About these Terms
2.1 These Terms & Conditions constitute the agreement between WERVIX LTD, trading as Picwave (we, us, our), and each customer (you) who visits pic-wave.com, purchases an image, buys generation credits or accesses our image-generation facility. Related policies form part of the Service rules where expressly incorporated and are available through the website.
2.2 Read the product description and checkout summary before placing an order. By accepting these Terms at checkout or by registering and continuing to use the Service after reasonable notice of applicable Terms, you agree to the contractual conditions governing that use. Browsing alone does not oblige you to purchase anything.
2.3 If an individual buys for personal purposes outside a trade or profession, that person is a consumer. Business customers may be subject to different non-consumer remedies where lawful, but these Terms do not reduce protections that cannot be excluded under the laws applicable to a particular transaction.
3. Definitions
3.1 Service means the Picwave storefront, online account, catalogue, prompt-driven image-generation interface, order system and related digital delivery functionality. Account means the login-protected profile through which a customer can view purchases, image-generation history and available generation credits.
3.2 Digital Image means an AI-generated image file offered for download from the catalogue or generated through the Service. Generation Credit, sometimes displayed on the site as a token, is a unit of prepaid use giving access to one completed generation request subject to these Terms, not an ownership interest in a technical model.
3.3 Order means a purchase request submitted through the checkout; Product Description includes the image preview, resolution and licence information displayed for a particular item. Generated Output means an image generated in response to a User Prompt, which is text or other material submitted by a customer for generation.
4. Eligibility & account use
4.1 The Service and all purchasing functions are intended for adults aged 18 or over. By creating an Account or ordering you represent that you are at least 18, have legal capacity to enter a contract and have authority to use the payment method submitted. We may refuse access or request reasonable age assurance when needed to protect minors.
4.2 Provide an accurate email address and protect login credentials. You are responsible for activity using your Account unless it arises from a failure for which we are responsible. Notify us promptly of suspected compromise; we may reset credentials, require re-verification or suspend affected access while investigating.
4.3 An Account is personal unless a separate enterprise agreement provides otherwise. Do not sell, share, transfer or multiplex an Account to evade prices, limits or controls. Each Order requires accurate transaction information, and an Account owner must maintain an accessible email address for material service notices.
5. Scope of licence & permitted use
5.1 Subject to payment and these Terms, we grant the purchaser a worldwide, non-exclusive, non-transferable licence to download, reproduce, modify and incorporate purchased or successfully generated Digital Images in lawful personal and commercial creative work. The licence covers the customer’s legitimate end product, not the right to resell an unchanged image as a competing stock library.
5.2 AI-assisted outputs may not be unique. Other users may independently obtain visually similar results, and third-party rights can subsist in input material, portrayed persons, marks, locations or styles. We do not promise copyright subsistence, absolute exclusivity or non-infringement in every Output. You must perform appropriate clearance for sensitive advertising, endorsements and regulated uses.
5.3 You may not extract the catalogue in bulk, redistribute source files as a standalone competing asset pack, impersonate a real person or use images to violate privacy, publicity, copyright or trademark rights. Credits grant use of the generation function only; they do not grant ownership of algorithms, model weights, software, templates or infrastructure.

6. Virtual currency, items & digital content
6.1 Each Generation Credit permits one completed request to generate an image in the Generate Module. A displayed Token Pack is a bundle of Credits; the quantity and price are shown before purchase. Generation Credit balances are account entries recording contractual access to a service, not cryptocurrency, points redeemable at merchants, a deposit, or electronic money.
6.2 A credit is deducted only for a completed generation recorded by the Service. Where a request fails without usable output because of a verified platform-side error, we restore the credit or provide an equivalent remedy. Prompt rejection under the Acceptable Use Policy does not entitle a customer to circumvent content safeguards.
6.3 Credits are for the account that purchased them and are not transferable, redeemable, exchangeable, cashable or collateral for a third-party transaction. Any later credit expiry or material change to the credit model will be communicated before it affects existing paid balances, subject to statutory rights and proportionate transition arrangements.
7. Purchases, billing & taxes
7.1 A binding Order is formed when we accept the order after payment authorisation and provide a confirmation or make the purchased item available. An unsuccessful payment attempt, reserved basket or incomplete checkout does not constitute acceptance. We may reject or cancel an Order for a genuine pricing error, suspected fraud or inability to deliver, with an appropriate refund for any captured payment.
7.2 Price, displayed currency, applicable taxes, pack size and any material fee must be visible in the final checkout summary before you commit. The actual charge currency is the one confirmed at checkout, which may differ from a selected display currency. Your bank may apply its own foreign-exchange rate or fees outside our control.
7.3 We use an external payment service provider for authorisation and processing. Card payment does not create a subscription: the current shop model comprises one-off Orders. We do not automatically debit customers for further Credits. The Payment Policy describes the processing lifecycle, duplicate transactions and payment-related disputes.
8. Delivery of digital content
8.1 On confirmation of payment, ready-made Digital Images are made available by an electronic download link or within the customer’s order history. Purchased Generation Credits are allocated to the authenticated Account balance. This is an electronic service; no physical parcel, courier delivery, customs clearance or shipping charge applies.
8.2 A downloadable-image delivery is completed when a functional download link is made available to the customer and generation-credit delivery is completed when the purchased balance is accessible in the Account. This contractual definition does not remove the consumer remedies applicable where the product or service fails to conform or is never supplied.
8.3 Delivery is normally prompt but is subject to processing and security controls. If a link is broken, credits do not appear, or the download cannot be accessed, contact info@pic-wave.com with the order reference. The Digital Product Fulfilment Policy explains troubleshooting, evidence and correction timelines.
9. No redemption, resale or cash-out
9.1 Generation Credits have no exchange rate against sterling, euros or other legal tender after purchase and are not a cash balance. A user must not sell credits, transfer them to other accounts or offer them on third-party marketplaces. Resale of a login or aggregation of balances to facilitate resale is also prohibited.
9.2 Credits may not be redeemed for goods or services outside the Picwave generation facility. Images are licensed digital content; permitted commercial incorporation is not a transfer of the licence to exploit Picwave catalogue files as a competing library.
9.3 When an Order is lawfully refunded, related unused credits or access entitlements are removed or adjusted to prevent double benefit. On voluntary Account closure, unused credits ordinarily cease to be usable, but statutory refund and conformity remedies, including any available goodwill refund for wholly unused credits, are not extinguished merely by closure.
10. User conduct & prohibited activity
10.1 Do not use the Service to create unlawful, exploitative, non-consensual sexual, hateful, harassing, fraudulent, deceptive or violent content, or to facilitate exploitation of minors. The Acceptable Use Policy gives additional examples and allows content moderation. A general reference to creative expression does not excuse violation of law or another person’s rights.
10.2 Automated extraction, scraping at scale, security interference, attempts to bypass access or generation limits, malware distribution and payment abuse are prohibited. We may apply rate limiting, input filtering and technical restrictions proportionate to identified abuse or risk.
10.3 You must not make misleading claims that an AI-generated portrait depicts an actual person endorsing a product. Where law or professional standards require disclosure of synthetic material, appropriate consent or rights clearance, you are responsible for complying before distribution.
11. User-generated submissions
11.1 You remain responsible for User Prompts and uploaded reference material and must have the rights, permissions and legal basis required to submit them. Do not include another person’s intimate imagery, confidential documents, identity records or regulated sensitive information without a valid legal basis and necessary consent.
11.2 You grant us a limited licence to host, transmit, process and transform your submissions solely as reasonably necessary to generate requested output, secure the Service, investigate abuse and deliver customer support. This is a processing permission, not an assignment of your intellectual property or permission to sell your private prompts independently.
11.3 We may decline, remove or restrict submitted prompts and resulting output where required by law, third-party rights or the Acceptable Use Policy. Technical input filtering may produce false positives; you may request a manual review through support and provide context without attempting to evade controls.
12. Intellectual property
12.1 The Picwave name, marks, designs, software code, site layout, database selection and underlying tooling remain owned or licensed by WERVIX LTD or their respective owners. Access to the Service confers only the limited rights expressly granted in these Terms; all other rights are reserved.
12.2 Ownership, protectability and permitted exploitation of an AI output may depend on the relevant jurisdiction, input rights and degree of human authorship. We license any rights that we control in supplied images but cannot transfer third-party rights or promise that every generated output satisfies copyright originality criteria.
12.3 If you believe catalogue content or a generated item infringes your rights, identify the material, the relevant rights, your contact details and the basis of your claim to info@pic-wave.com. We may restrict disputed materials while we review them and will respond proportionately to credible evidence.
13. Updates, maintenance & changes to the Service
13.1 We may improve models, security controls, prompt interfaces, supported file formats and catalogue availability. Some changes are necessary to maintain technical security, comply with law or improve functionality; we will avoid unreasonable changes that materially degrade purchased entitlements without an appropriate remedy.
13.2 Planned maintenance will be communicated where practicable. We do not guarantee that any particular artistic style, image sequence or model response will remain identical after an update because AI outputs are probabilistic; purchased download rights and paid credit balances remain subject to these Terms and mandatory conformity requirements.
13.3 If we retire an essential feature before an outstanding paid entitlement can reasonably be used, we will make a suitable alternative available or assess a fair refund of the affected undelivered portion. This clause does not replace non-excludable remedies under digital-content legislation.
14. Suspension, restriction & termination
14.1 We may temporarily restrict account access or generation activity where reasonably necessary to investigate fraud, prohibited content, security compromise, unlawful activity, unpaid charges or material violations. Urgent action may precede notice when delay could expose customers or the platform to harm.
14.2 Where feasible, we will communicate the reason, expected review path and available appeal method. Measures will be proportionate to severity and may include warning, content removal, temporary suspension or termination. You may contact support to challenge a decision and ask about outstanding Orders.
14.3 Termination ordinarily stops future access and unused Credit consumption. It does not erase liability for completed Orders, our obligation to remedy defective digital content, any refund required by law, or data protection rights. Treatment of remaining Credits and account records is stated in the Cancellation Policy.
15. Consumer rights & statutory protections
15.1 Where you buy as a UK consumer, the Consumer Rights Act 2015 provides mandatory rights concerning digital content, including conformity with description, satisfactory quality and fitness for a purpose made known in the legally relevant way. Depending on the defect and circumstances, remedies may include repair or replacement, a price reduction or reimbursement.
15.2 UK distance-selling cancellation rules may ordinarily provide a 14-day cancellation period, but a consumer may lose that right for digital content not supplied on a tangible medium if supply begins during the period following express prior consent, acknowledgement of the effect on cancellation rights and required confirmation. We do not treat digital classification alone as an automatic waiver.
15.3 If applicable mandatory law in your country gives you additional or stronger protections, those provisions take precedence over any conflicting limitation in these Terms. Nothing excludes liability for fraud, death or personal injury caused by negligence, or other liability that cannot legally be excluded.
15.4 Allocating prepaid Generation Credits is not the same event as completing a future image generation. Where a credit-pack transaction is legally characterised as a service or continuing entitlement rather than an immediately supplied digital file, the appropriate statutory cancellation and start-of-performance rules apply to that classification; merely displaying a credit balance does not establish a valid waiver.
16. Refunds & billing disputes
16.1 Submit refund requests to info@pic-wave.com with the order number, purchase date, transaction amount, email address and explanation of the issue. For failed downloads, missing credit allocation or unusable generated output, include relevant screenshots and avoid sharing complete card credentials.
16.2 Our Refund Policy explains legal and goodwill eligibility, including a voluntary 14-calendar-day request window for wholly unused purchased credits, duplicate payments, technical non-delivery, defects and permitted statutory cancellation. Ordinarily a goodwill change-of-mind request is not available after credits are used or an image has been accessed, subject always to mandatory rights.
16.3 Before filing a payment dispute, you may contact us to seek a faster investigation; however, we do not require you to waive, delay beyond a legal deadline, or surrender any chargeback right provided by your bank, card scheme or law. We may provide legitimate fulfilment records to a payment provider investigating a dispute.
17. Disclaimers & service availability
17.1 The creative output of a generative AI system depends on the submitted prompt, model behaviour and technical conditions. We cannot guarantee that any particular result will match subjective aesthetic expectations, achieve commercial success or avoid coincidental resemblance to third-party imagery.
17.2 We apply reasonable skill and care in the operation of the Service. Technical interruptions, incompatible browsers or failures caused exclusively by user devices can occur. We will provide reasonable troubleshooting and statutory remedies for failures for which we are legally responsible.
17.3 No language in these Terms is a representation that generated images may safely be used for every regulated purpose. Users should obtain appropriate specialist review before deploying images in healthcare, finance, politics, celebrity endorsements or any other context with elevated disclosure, rights or safety obligations.
18. Limitation of liability
18.1 Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, breach of statutory title obligations, or liability that consumer or other applicable law prohibits us from limiting. Statutory rights in respect of defective digital content remain effective.
18.2 For business customers only, to the extent permitted by law and absent a separately agreed enterprise contract, neither party is liable to the other for indirect loss of anticipated profit or speculative opportunity that was not reasonably foreseeable when the Order was made. Any commercial liability cap must be assessed subject to reasonableness and mandatory law.
18.3 For consumers, responsibility for foreseeable loss caused by our breach is not excluded. A user should take reasonable steps to mitigate avoidable loss, but a failure to do so does not eliminate remedies that applicable law requires us to offer.
19. Indemnity
19.1 Business customers agree, to the extent legally enforceable and proportionate, to compensate WERVIX LTD for reasonable direct third-party losses arising from their deliberate unlawful use of the Service or knowing infringement of third-party rights through material they submit or distribute.
19.2 This indemnity does not make a consumer responsible for losses caused by our own breach, negligence or unlawful processing, and does not remove statutory remedies. No automatic obligation is imposed merely because a third party makes an unsubstantiated allegation.
19.3 We will provide reasonably prompt notice of a material claim, permit meaningful participation in its defence where appropriate and avoid settlements that impose non-monetary obligations on the customer without appropriate consent.
20. Privacy, cookies & data handling
20.1 We handle personal data needed for account administration, payment reconciliation, image generation, security, analytics and customer support in accordance with our Privacy Policy. The Privacy Policy identifies WERVIX LTD as the controller for the relevant Picwave processing and explains lawful bases, retention, rights requests and international transfers.
20.2 Cookies and similar technologies used for the checkout, login, currency preferences and consent mechanism are described in the Cookie Policy. Non-essential tracking should not be activated before the consent required by UK Privacy and Electronic Communications Regulations has been obtained.
20.3 Avoid uploading confidential or sensitive personal data to generation prompts unless there is a valid legal basis and the information is necessary. You may submit access, deletion or objection requests through the privacy contact route, subject to lawful retention of transaction and security records.
21. Complaints & support
21.1 Our customer-support contact is info@pic-wave.com and the website contact form at https://pic-wave.com/contact-us/. When contacting us, identify the relevant order, account email, affected product, date and concise explanation; do not provide a full payment card number or password.
21.2 We aim to acknowledge billing and refund enquiries within two business days and reach a substantive refund decision within seven business days after receiving sufficient information. Some fraud, rights or security reviews require longer; where so, we will explain the additional steps and provide updates.
21.3 If you are dissatisfied, ask for a review by a senior support representative. You may also seek advice from a recognised consumer advice service or assert any rights to a court, regulator, payment provider or independent redress body available by law.
22. Governing law & dispute resolution
22.1 These Terms are governed by the law of England and Wales. Courts of England and Wales have jurisdiction, subject to mandatory consumer forum protections that allow a consumer to bring proceedings in the jurisdiction required or permitted by applicable law.
22.2 We prefer proportionate, good-faith resolution of complaints using our contact channel before litigation, but this is a request rather than a restriction on court access, urgent injunctions, chargebacks or statutory regulator complaints. There is no imposed arbitration agreement.
22.3 Where mandatory consumer law of another country applies to your purchase, choice of English law does not deprive you of protections that cannot be displaced by contract. If a clause is unenforceable, the remainder continues insofar as commercially and legally coherent.
23. Changes to these Terms
23.1 We may revise these Terms for legal, security or genuine service reasons. A current copy, version number and effective date will be published at pic-wave.com. Material adverse changes will be explained in advance where reasonably practicable, including what changes and when they take effect.
23.2 Changes do not retrospectively remove accrued statutory rights or alter the essential economics of an already accepted purchase without a lawful basis or customer agreement. If an update materially affects continuing use of an Account, users may stop using the Service and request information concerning remaining paid credits.
23.3 Continued active use after valid notice may signify acceptance of prospective operational terms where legally appropriate; it will not be treated as consent to terms for which affirmative agreement is required by law. Historical order records preserve the terms applicable when each Order was made.
24. Contact
24.1 Picwave is operated for the purposes of these Terms by WERVIX LTD, company number 17499009, registered at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ. Contact info@pic-wave.com for contract, delivery, billing, copyright and general enquiries.
24.2 To facilitate a prompt answer, quote the order number and use the registered email address. The contact form may also be used at https://pic-wave.com/contact-us/. Customer support generally operates Monday to Friday during stated service hours; urgent fraud or security reports should identify their nature in the subject line.
Schedule 1 – Practical Service Rules
A customer buying a ready-made Digital Image should verify the item preview, intended commercial rights, displayed download options, currency and total checkout price. The file becomes available electronically when the order is accepted. A defective or inaccessible download should be reported with its order number for remedy.
A customer buying a 45-credit pack receives 45 account-bound usage credits. Completing one image generation normally uses one credit; an unsuccessful platform-side request should not permanently consume a usable credit. The displayed balance does not represent a bank balance and cannot be cashed out.
Before generating an image of a real person or using a visible brand, obtain permissions required for the proposed use. AI output is not guaranteed exclusive or copyright-protected. Save order confirmations and any final licensed files; report non-delivery or defects without giving support your password.
For a wholly unused credit purchase, a customer may request the stated goodwill review within 14 calendar days. Statutory remedies may apply after that period and after use. For an account closure, first download accessible images and ask support to determine whether the credit purchase qualifies for refund or another mandatory remedy.
